Employees who participated in the company's 401(k) retirement plan during a period that began July 24, 2000 filed a class action lawsuit against their employer alleging violations of the Employee Retirement Income Security Act. The lawsuit claimed Williams breached their fiduciary duties to 401(k) plan participants related to investments of common stock. They have agreed to a $55 million class action ERISA settlement.
