The holding company has agreed to settle a class action lawsuit with its shareholders over the company's proposed merger with Capital One Financial Corp. The class action claimed the company's directors breached their fiduciary duties by failing to maximize shareholder value in the merger agreement. Hibernia recently signed a memorandum of understanding to form the settlement with the Securities and Exchange Commission, but financial terms were not disclosed. (Jun-19-05)
