Univision Communications Inc. fiduciary duties

Two lawsuits seeking class action status have been filed in Los Angeles Superior Court against Univision Communications Inc. alleging its board members breached their fiduciary duty in their sale agreement. One lawsuit claims Univision's board put its own personal interests and the interests of the winning bidder ahead of shareholders, failed to evaluate the company's worth and failed to create an active and open auction for Univision products.
