A settlement has been reached and is pending court approval in all outstanding class action lawsuits filed by persons who purchased stock between June 28, 2000 and February 1, 2002. The suits were filed regarding the company's restatement of financial results for the 2001 fiscal and transition years. The company will pay approximately $17.4 million in cash, will distribute shares of common stock with a value of $33.0 million, and will implement changes in corporate governance.
